Terms of Service
The agreement between your company and ours. Written to be read, not to be survived.

Summary in plain English
- You own your content. We get a narrow licence to use it only to run the service for you, and it ends when you leave.
- Nothing goes live without approval. Every change passes through the Change Queue, unless you switch on auto-optimize yourself.
- AI output is a suggestion, not a promise. We cannot guarantee a ranking or an AI citation, and anyone who does is selling you something.
- Monthly plans cancel any time. Prices are in euros and exclude VAT. Our liability is capped at what you paid us in the last 12 months.
These terms are a pre-launch draft. They describe how ShopRise actually works, but they have not yet been reviewed by external counsel. Have them checked by a lawyer before relying on them.
The agreement
These terms are a contract between you, the company that opens a ShopRise account or installs the ShopRise app on a Shopify store, and us, ShopRise, an initiative by Nodefy and Webfluencer, established in the Netherlands.
You accept them by creating an account, installing the app or using the service. If you are accepting on behalf of a company, you confirm that you are authorised to bind it. If you are not, do not accept them.
Together with our order form or plan selection, our Privacy Policy and our Data Processing Agreement, this is the whole agreement between us. Your own purchase order terms do not apply unless we have signed them.
The service
ShopRise is a platform for SEO, GEO (generative engine optimisation) and agentic-commerce readiness. It consists of a Shopify app, a theme extension and a web platform, and it does broadly the following:
- Analyses your store's content, structure, structured data and technical health.
- Generates suggestions and content using AI models, informed by keyword, SERP and competitor data.
- Publishes approved changes back to your store through the Shopify Admin API.
- Produces machine-readable output such as schema markup and agent feeds so that models and shopping agents can read your catalogue.
- Tracks rankings, AI citations and the commercial effect of the changes you approved.
We improve the service continuously. Features are added, changed and occasionally retired, and we log the significant ones on the changelog. We will not remove a material feature from a paid plan during a paid term without offering you a comparable replacement or a pro-rated refund.
Accounts and eligibility
ShopRise is a business-to-business product. You may only use it in the course of a trade, business or profession, which means consumer protection rules for distance selling do not apply to this agreement.
- You are responsible for everything that happens under your account, including what your team and your agency do with it.
- Keep your credentials secure and tell us promptly if you think they have been compromised.
- Seats are per person. Do not share a single login across a team; add seats instead.
- You must have the right to connect the Shopify store you connect, and to authorise us to read and write to it.
Agencies may manage stores on behalf of clients. If you do, you confirm that your client has authorised it, and you remain responsible under these terms for the stores you connect.
Plans, term and billing
Packages and their volumes are described on the pricing page. ShopRise is a managed programme, not a self-serve subscription: what you agreed in your order form is what you owe, and the order form wins if it says something different from this page.
- Minimum term. Packages run for a minimum term of twelve months, starting on the day we complete your technical setup. We ask for this because SEO and AI visibility compound over quarters, not weeks.
- Setup fee. A one-off setup fee is invoiced at the start of the engagement. It covers the store integration, the theme app extension, the brand knowledge base and the first full catalogue scan. It is payable whether or not you continue after the initial term.
- Billing cycle. Fees are invoiced yearly in advance. Quarterly invoicing is available on request and must be agreed in writing in the order form.
- Currency and tax. All prices are in euros and exclude VAT. VAT is added where required. If you are a VAT-registered business in the EU outside the Netherlands and you give us a valid VAT number, the reverse charge applies.
- Payment method. Payment is by bank transfer against an invoice, due within 14 days unless the order form says otherwise.
- Renewal. After the initial term the agreement renews for successive twelve month terms unless either party gives written notice at least 30 days before the end of the current term.
- Cancellation. You can give notice at any time, and it takes effect at the end of your current term. We do not charge an exit fee, but fees for the term you committed to remain payable.
- Refunds. Fees already paid are not refundable, except where we terminate for our own convenience, in which case we refund the unused portion of the term pro rata. If something is genuinely broken and we cannot fix it, talk to us; we would rather refund you than argue.
- Late payment. If an invoice is unpaid after 14 days from a reminder, we may suspend the service. We will tell you before we do.
- Price changes. We may change prices for a renewal term with at least 30 days' notice. If you do not accept the new price, give notice before the term renews.
- One package per store. Each Shopify store requires its own package. Portfolios and agency groups are priced separately.
The free scan is not part of this. It costs nothing, requires no card and carries no obligation, whether or not you ever become a customer.
Acceptable use
Use the product for what it is for. Specifically, do not:
- Use ShopRise to produce or publish content that is illegal, defamatory, deceptive, infringing, or that misrepresents products in a way that would mislead a buyer.
- Generate content for stores you do not have the right to operate.
- Attempt to circumvent rate limits, quotas or plan limits, including by scripting the interface, rotating accounts, or spinning up trials to avoid paying.
- Probe, scan or attack our infrastructure, other than in good-faith security research reported to security@shoprise.ai.
- Resell, sublicense or repackage the output of the service as a competing SEO, GEO or content product. Using ShopRise to do client work as an agency is fine and encouraged. Rebuilding ShopRise on top of ShopRise is not.
- Reverse engineer the service, or use it to build a competing product, or extract our prompts, models or scoring logic for that purpose.
- Use the service in a way that breaches Shopify's own terms or the terms of any AI provider we route through.
If you break these rules we may suspend your account. Where the breach is not serious and can be fixed, we will tell you first and give you a reasonable chance to fix it.
Your content, and the licence you give us
You own your content. Your products, descriptions, images, brand assets, store data and anything you upload remain yours. Nothing in this agreement transfers ownership of any of it to us.
To run the service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, analyse, process and modify your content, and to pass it to the sub-processors listed in our Privacy Policy, for one purpose only: to provide, secure and support the service for you. That is the whole scope. The licence exists because we cannot analyse a product description without processing it, and it ends when your account ends and your data is deleted.
We do not use your content to train AI models, we do not use it to build features for other customers, and we do not use it in our own marketing without your written permission.
Output. As between you and us, the content ShopRise generates for your store is yours to use, publish and modify. We claim no ownership over it. We do reserve the right to use anonymised, aggregated statistics (for example, "approval rates on structured data suggestions") to improve the product.
AI-generated content
This section matters more than any other, so we are going to be direct about it.
- Output is a suggestion. ShopRise uses large language models. Model output can be wrong, generic, out of date, or subtly off-brand. It can state a product fact that is not true of your product. Treat every suggestion as a draft written by a fast, well-read assistant who has never held your product.
- You review, you approve, you publish. Suggestions land in the Change Queue. Nothing reaches your live storefront until someone on your side approves it, or until you deliberately switch on auto-optimize for a category of change.
- You are responsible for what you publish. Once it is on your store, it is your content and your commercial claim. That includes accuracy, advertising law, product compliance, health and safety claims, comparative claims about competitors, and anything else a regulator might read. We cannot check any of that for you, and we do not.
- We guarantee no rankings and no citations. We do not control Google, we do not control ChatGPT, Perplexity, Claude, Gemini or Copilot, and we do not control how any of them will rank, retrieve or cite your store tomorrow. Anyone who guarantees a position in an AI answer is guessing, and charging you for the guess. What we can promise is that your content becomes more complete, more structured and more machine-readable, which is what those systems reward.
- Similar outputs are possible. Models can generate similar text for similar inputs, including for another merchant in your category. We do not warrant that generated content is unique or that it does not resemble content elsewhere.
- Third-party rights. You are responsible for making sure the content you publish does not infringe anyone else's trade marks or copyright, and for keeping any disclosure your market requires about AI-assisted content.
Publishing to your store
ShopRise writes to your store through the Shopify Admin API, using the scopes you granted at install. The permission model is deliberately conservative.
- Every change is proposed first. Suggestions arrive in the Change Queue with a diff, showing exactly what changes, on which page, and why.
- Approval is explicit. Approve one change, or approve a batch. Rejecting one does not reject the rest.
- We do not publish without approval. The single exception is auto-optimize, an opt-in setting that you enable per change type, and that you can switch off at any time. If it is on, you have instructed us to publish that type of change without a further review, and it counts as your approval.
- Everything is logged. Every write records who approved it, when, and what the previous value was.
- Reversible where Shopify allows it. Content changes we made can be rolled back to the value we recorded before the write. Take your own backup before a large migration anyway. Good practice is good practice.
You can revoke our access at any time by uninstalling the app in Shopify. Doing that stops all future writes immediately.
Data processing
For personal data inside your store and your account, you are the controller and we are the processor. Our Data Processing Agreement forms part of this agreement and is accepted when you accept these terms. Enterprise customers can sign a countersigned copy, and we can work from your paper if you prefer.
- We process personal data only on your documented instructions, which is what your use of the product amounts to.
- The sub-processors we use, what each one does and where it sits are listed in the Privacy Policy. We notify customers before adding a new one.
- Transfers outside the EEA rely on Standard Contractual Clauses, as described under international transfers.
- We do not request Shopify scopes for customers, orders or payment data, so that data never enters our systems. See what we never collect.
- We tell you about a personal data breach affecting your data without undue delay, and we help you meet your own notification duties.
- On termination we delete or irreversibly anonymise your data within 60 days, or sooner on request.

Availability and support
We try hard to keep the service up, and we operate it as if it were our own store, because for some of us it is. That said, we are honest about what we commit to:
- No uptime SLA on self-serve plans. Growth and Scale are provided without a contractual uptime guarantee. We do not offer service credits on those plans.
- An SLA is available on Enterprise, with agreed uptime targets, response times and remedies, written into the order form.
- Maintenance. We deploy continuously and aim for zero downtime. Where planned maintenance requires an interruption, we announce it in advance.
- Support. Email support for every plan, at hi@shoprise.ai. Scale gets priority support with a one business day target. Enterprise gets a named contact.
- Dependencies. Parts of the service depend on Shopify, on AI providers and on third-party data sources. If one of them is down or changes its API, our service can degrade with it. We will tell you when that is what is happening, rather than pretend it is not.
Warranties, disclaimers and liability
We warrant that we will provide the service with reasonable skill and care, and in line with the description on this site.
Beyond that, and to the fullest extent permitted by law, the service is provided as is. We do not warrant that it will be uninterrupted or error-free, that the output will be accurate or fit for a particular purpose, or that using it will produce any particular ranking, traffic level, citation, revenue outcome or return on investment.
Limitation of liability. To the fullest extent permitted by law:
- Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, or loss of anticipated savings.
- Our total aggregate liability under this agreement, for all claims combined, is capped at the total fees you paid us in the 12 months before the event that gave rise to the claim.
- Nothing in this agreement limits liability for fraud, for wilful misconduct, for gross negligence, for death or personal injury, or for anything else that cannot be limited under Dutch law.
- Claims must be brought within 12 months of the event that gave rise to them.
Your indemnity. You will hold us harmless against third-party claims arising from content you published through the service, from your breach of the acceptable use rules, or from your infringement of someone else's rights.
Termination
- You can leave whenever you want. Cancel in your account settings, or uninstall the app. Access continues until the end of the term you paid for.
- We can terminate for material breach, if it is not cured within 14 days of written notice, or immediately for a serious breach of the acceptable use rules.
- We can terminate for convenience with 30 days' notice, refunding the unused portion of your term.
- On termination, your access ends, scheduled jobs stop and our write access to your store ends. Changes we already published stay on your store. They are your content, and we do not roll them back.
- Export first. You can export your data at any time while your account is active. After termination we delete it within 60 days.
The sections on your content, AI-generated content, liability, governing law and anything else that by its nature should survive, survive termination.
Governing law and disputes
This agreement is governed by the laws of the Netherlands, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Disputes go to the competent court in Amsterdam, the Netherlands, and both parties submit to its exclusive jurisdiction. Before anyone files anything, talk to us. Most things that look like a dispute are a misunderstanding with an invoice attached, and we will pick up the phone.
Changes to these terms
We may update these terms. If a change is material, we will email account holders at least 30 days before it takes effect, and the date at the top of this page will change. Continuing to use the service after that date means you accept the new terms. If you do not accept them, you can cancel before they take effect and we will refund the unused portion of your term.
Minor corrections, such as fixing a typo or clarifying a sentence, are made without notice.
